This Business Subscription Agreement (“Agreement”) is between you and Avidon Health LLC (“Avidon”), a New Jersey LLC located at 3 Miln Street #432, Cranford, NJ 07016. This Agreement supplements the Administrative Platform Terms of Service and governs the commercial billing relationship only. All operational, legal, and platform terms — including intellectual property, data security, confidentiality, indemnification, limitation of liability, arbitration, notices, and governing law — are covered in the Administrative Platform Terms of Service.

Your subscription provides access to the Avidon Health platform and services as described in your Order Form, including:
2. Subscription Billing
(a) Auto-Renewal: Subscriptions automatically renew at the end of each subscription period shown in your Order Form unless canceled or modified prior to the renewal date. You authorize Avidon to charge your payment method at the then-current subscription rate.
(b) Non-Payment: If payment fails on the renewal date, Avidon reserves the right to immediately suspend your Services until a valid payment method is provided.
(c) Fee Increases: Fees may increase up to 5% annually to maintain service quality and compliance standards. You will be notified at least 30 days in advance.
(d) Cancellation: You may modify or cancel your subscription at any time through your account settings. Modifications or cancellations not submitted prior to the renewal date will result in auto-renewal.
(e) Refunds: Fees (including unused portions) are non-refundable unless explicitly stated in an Order Form or in the event of a material failure in service delivery.
